By accessing, browsing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy and Legal Notice. If you do not agree with any provision, you must immediately cease use of our Services.

- Training and support for AI implementation
- Consulting and advisory services related to AI adoption
1.2 Service Scope
The specific scope of services will be defined in individual service agreements, project proposals, or statement of work (SOW) documents. The descriptions on our Website are general overviews and do not constitute binding service commitments unless explicitly stated in a signed contract.
2. Eligibility and Account Creation
2.1 Eligibility Requirements
To use our Services, you must:
- Be at least 18 years of age (or the age of majority in your jurisdiction)
- Have the legal capacity to enter into binding agreements
- Reside in a jurisdiction where our Services are lawfully offered
- Not be subject to any sanctions or export restrictions
- Not have been previously suspended or terminated from our Services
2.2 Account Registration
If you create an account with PAL Portals, you agree to:
- Provide accurate, complete, and truthful information during registration
- Keep your account credentials confidential and secure
- Immediately notify us of any unauthorized access or use
- Maintain and promptly update your account information
- Take full responsibility for all activities under your account
2.3 Account Termination
PAL Portals reserves the right to suspend or terminate your account at any time for violations of these Terms, non-payment, fraudulent activity, or other reasons at our sole discretion. Account termination may result in loss of access to your data, projects, and services.
3. Payment Terms and Pricing
3.1 Pricing and Fees
Pricing for our Services is as follows:
- Base service fees as quoted in our pricing page or service agreement
- Additional charges for extra features, modules, or usage beyond included limits
- Implementation and setup fees (if applicable)
- Support and maintenance fees
- All applicable taxes (GST in India, VAT/Sales Tax in other jurisdictions)
3.2 Payment Methods and Schedule
Payment may be made through:
- Bank transfer / Wire transfer
- Credit/Debit card (processed through secure payment gateways)
- Online payment platforms (Stripe, PayPal, etc.)
- Other methods agreed upon in writing
Invoices are issued according to the billing cycle specified in your service agreement (monthly, quarterly, or annually). Payment is due within 30 days of invoice date unless otherwise agreed in writing.
3.3 Late Payments
If payment is not received by the due date, we may:
- Charge late payment interest at 1.5% per month (18% per annum) or the maximum rate allowed by law
- Suspend or terminate your access to Services
- Pursue legal action to recover outstanding amounts
- Recover collection costs and legal fees
3.4 Currency and Taxes
All prices are quoted in USD unless otherwise specified. You are responsible for any currency conversion fees. All prices exclude applicable taxes, which will be added based on your location and tax status.
4. Service Delivery and Performance
4.1 Service Level Agreement (SLA)
For premium services, PAL Portals commits to:
- Availability: 99.5% uptime for cloud-hosted services (excludes scheduled maintenance)
- Support Response Time: Critical issues within 2 hours; High priority within 8 hours; Normal priority within 24 hours
- Project Delivery: As specified in the project SOW with agreed-upon milestones
- Performance Standards: As defined in individual service agreements
4.2 Exclusions from SLA
SLA commitments do not apply to:
- Scheduled maintenance and updates
- Service disruptions caused by client actions or misuse
- Third-party service failures or issues beyond our control
- Force majeure events (natural disasters, pandemics, etc.)
- Network issues on the client's end
4.3 Maintenance and Updates
PAL Portals may perform scheduled maintenance, updates, or patches without prior notice. We will endeavor to minimize disruption and notify clients of critical maintenance in advance when possible.
5. Intellectual Property
5.1 PAL Portals IP Rights
All intellectual property related to our Services, including software, algorithms, documentation, and methodologies, remains the exclusive property of PAL Portals or its licensors. You are granted a limited, non-exclusive, non-transferable license to use these materials solely for the purpose of accessing and using our Services.
5.2 Client Data and Output
Client Data Ownership: You retain all rights to your input data, content, and information provided to PAL Portals.
Service Output: Reports, analyses, and deliverables created by PAL Portals for your Services are provided for your use. The underlying AI models, processes, and methodologies remain our intellectual property.
Restrictions: You may not reverse engineer, decompile, or attempt to extract our proprietary algorithms or models from the outputs.
5.3 Feedback and Suggestions
By providing feedback, suggestions, or ideas about our Services, you grant PAL Portals the right to use this feedback to improve our Services without attribution or compensation.
6. Confidentiality
6.1 Confidential Information
Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the provision of Services. This includes business plans, trade secrets, client lists, and technical information.
6.2 Data Protection
PAL Portals implements industry-standard security measures to protect your data. However, we cannot guarantee absolute security against all threats. You acknowledge the inherent risks of transmitting data over the internet.
6.3 Use of Your Data
We will not use your data for any purpose other than providing Services, unless we obtain your explicit written consent. See our Privacy Policy for detailed information on data handling.
7. User Obligations and Conduct
You agree to:
- Use our Services only for lawful purposes in compliance with all applicable laws
- Not engage in any form of harassment, abuse, or threatening behavior
- Not attempt to gain unauthorized access to our systems or networks
- Not introduce viruses, malware, or harmful code
- Not engage in automated scraping or data extraction
- Not resell, redistribute, or sublicense our Services without written permission
- Not use our Services for illegal activities or to violate third-party rights

8. Limitation of Liability
DISCLAIMER: TO THE FULLEST EXTENT PERMITTED BY LAW, PAL PORTALS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE OUR SERVICES.
This includes damages for loss of profits, revenue, data, goodwill, business interruption, or any other loss, even if PAL Portals has been advised of the possibility of such damages.
Maximum Liability Cap: Our total liability to you for any claim arising from these Terms shall not exceed the total amount paid by you in the 12 months preceding the claim, or USD $100, whichever is greater.
9. Indemnification
You agree to indemnify, defend, and hold harmless PAL Portals, its officers, directors, employees, and agents from any and all claims, losses, damages, liabilities, and expenses (including attorneys' fees) arising from:
- Your violation of these Terms or applicable laws
- Your use or misuse of our Services
- Your violation of intellectual property rights
- Content you provide or actions you take using our Services
- Claims by third parties related to your use of the Services
10. Termination
10.1 Termination by You
You may terminate your use of our Services by providing written notice. However, you remain responsible for all charges incurred through the date of termination.
10.2 Termination by PAL Portals
PAL Portals may terminate or suspend Services immediately if you:
- Violate any provision of these Terms
- Engage in illegal or fraudulent activity
- Fail to pay invoices within 60 days of due date
- Use our Services to harm others or violate laws
10.3 Effect of Termination
Upon termination, your right to use the Services ceases immediately. You remain responsible for all outstanding charges. PAL Portals is not responsible for data loss following termination.
11. Warranty Disclaimers
AS-IS BASIS: Our Services are provided on an "AS IS" and "AS AVAILABLE" basis without any warranties, express or implied.
PAL Portals disclaims all warranties including:
- Warranties of merchantability or fitness for a particular purpose
- Warranties that Services will be uninterrupted or error-free
- Warranties regarding accuracy, completeness, or timeliness of outputs
- Warranties that AI-generated content is original or legally risk-free
12. Refund Policy
No Refunds: All payments made for Services are non-refundable except as required by law. This includes:
- Subscription fees for completed billing periods
- Upfront payments for services rendered
- Implementation or setup fees
Exceptions: Refunds may be considered in cases of service failures meeting the SLA criteria, at PAL Portals' sole discretion. Any refund claim must be submitted in writing within 30 days of the service failure.
13. Governing Law and Dispute Resolution
13.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. However, mandatory local laws in your jurisdiction may apply where applicable.
13.2 Dispute Resolution Process
Before initiating legal proceedings:
- Submit a written complaint to legal@palportals.com describing the dispute
- Engage in good-faith negotiations for 30 days
- If unresolved, either party may seek arbitration or litigation
13.3 Jurisdiction
You consent to the exclusive jurisdiction of courts in India. However, if you are a consumer in a jurisdiction with mandatory local courts, you may bring disputes in those courts as permitted by local law.
14. Modifications to Terms
PAL Portals may modify these Terms at any time. Changes will be effective immediately upon posting to our Website. Continued use of our Services following modifications constitutes acceptance of the updated Terms. For material changes, we will provide prior notice where possible.
15. Third-Party Services and Links
Our Services may integrate with or link to third-party services, APIs, or platforms. PAL Portals does not control, endorse, or assume responsibility for third-party services. Your use of such services is subject to their terms and conditions.
Example: If we use OpenAI's GPT models or other third-party AI providers, your data is subject to their terms as well. Review third-party terms carefully before use.

You agree to use our Services in compliance with all applicable laws, including:

17. Severability

18. Entire Agreement
These Terms, together with our Privacy Policy and Legal Notice, constitute the entire agreement between you and PAL Portals regarding the Services and supersede all prior and contemporaneous agreements and understandings.
